Terms of Service
These Terms of Service (the “Terms”) explain the rules that apply when you use the products, services, and websites offered by Trail Labs, Inc. (“Trail,” “we,” or “us”). By creating an account, installing a Trail integration, or otherwise using the Service, you agree to these Terms.

1. Eligibility and Accounts
You must be at least 18 years old to use Trail. If you sign up on behalf of a company or other legal entity, you confirm that you have authority to bind that entity. You agree to provide accurate account information, to keep your credentials confidential, and to notify us immediately if you suspect unauthorized use of your account.
2. Access to the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use Trail for your internal business purposes. We may update or modify the Service at any time. You are responsible for maintaining the hardware, software, and network connections required to access Trail.
3. Subscriptions and Payment
Certain features of Trail may be offered on a paid basis. If you subscribe to a paid plan, you agree to pay the fees described at the time of purchase. Unless otherwise stated, subscriptions renew automatically at the end of each billing period. You may cancel at any time, and your cancellation will take effect at the end of the current period. Fees are non-refundable except where required by law or explicitly stated by Trail.
4. Customer Data and Privacy
You retain all rights to the data you submit to the Service (“Customer Data”). You grant Trail a limited license to use Customer Data solely as necessary to provide, maintain, and improve the Service, and as otherwise permitted by our Privacy Policy. You are responsible for obtaining any rights or permissions needed to supply Customer Data and for ensuring that your use of Trail complies with applicable laws, including data protection requirements.
5. Third-Party Services
Trail connects with third-party services (such as GitHub, Slack, Linear, and others) to surface relevant information. Your use of third-party services is governed by the terms and policies of those providers. Trail is not responsible for third-party services, and they may change or discontinue features without notice. We are not liable for any damages or losses arising from your use of third-party services.
6. Acceptable Use
You agree not to misuse the Service. Prohibited conduct includes attempting to gain unauthorized access to Trail or related systems, interfering with the integrity or performance of the Service, reverse engineering, probing, or scanning the Service, sending malware or unsolicited communications, or using Trail to violate the rights of others. Trail may suspend or terminate access if we believe you have breached this section.
7. Intellectual Property
Trail and its licensors retain all right, title, and interest in and to the Service, including all associated intellectual property. Except for the limited rights expressly granted in these Terms, no other rights are granted, whether by implication, estoppel, or otherwise. You agree not to remove any proprietary notices from the Service.
8. Confidentiality
If you receive non-public information from Trail that is marked or should reasonably be understood to be confidential, you agree to use that information only for the purpose of using the Service and to protect it using reasonable care. The same obligation applies to Trail with respect to your confidential information.
9. Warranties and Disclaimers
The Service is provided on an “as is” and “as available” basis. Trail disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the fullest extent permitted by law, Trail and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Service is limited to the greater of the amount paid to Trail in the twelve months preceding the event giving rise to the claim or one hundred US dollars (USD $100).
11. Indemnification
You agree to indemnify and hold Trail, its officers, directors, employees, and agents harmless from and against any claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.
12. Termination
You may stop using Trail at any time. We may suspend or terminate your access to the Service if you breach these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to use Trail will end, but sections intended to survive termination (including confidentiality, ownership, and limitations of liability) will remain in effect.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Wilmington, Delaware, and each party consents to personal jurisdiction in those courts.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice by email or through the Service. Continued use of Trail after the effective date of an updated version constitutes acceptance of the new Terms.
